Terms of Service

1. Acceptance of Terms

By accessing or using OpxCrate ("the Service"), operated by OpxCrate, LLC ("OpxCrate," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all products within the OpxCrate platform, including Dispatch, Website Builder, Spreadsheets, PDF Forms, Inventory, Newsletter, Call Tracking, Team Chat, Tasks, and Documents.

2. Account Registration

To use OpxCrate, you must create an account using either an email address and password or Google OAuth sign-in. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information during registration. You must be at least 18 years old to create an account.

3. Free Trials

OpxCrate offers a 14-day free trial for new accounts. A valid credit card is required to start a trial, but you will not be charged until the trial period ends. You may cancel at any time during the trial to avoid being charged. If you do not cancel before the trial ends, your subscription will automatically begin and your card will be billed at the applicable rate.

4. Payment & Billing

Paid subscriptions are billed monthly. All payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your card on a recurring monthly basis. Prices are listed on our website and may change with 30 days' notice. All fees are in US dollars unless otherwise stated.

5. Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation, you will retain access to the Service until the end of your current billing period. We do not provide prorated refunds for partial months. If you cancel during your free trial, you will not be charged.

6. Acceptable Use

You agree not to use OpxCrate to:

• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or bulk communications
• Upload malware, viruses, or other harmful content
• Attempt to gain unauthorized access to other accounts or systems
• Harass, threaten, or impersonate others
• Interfere with or disrupt the Service or its infrastructure
• Scrape, crawl, or use automated tools to extract data from the Service
• Resell or redistribute the Service without our written permission
• Use the Service for any illegal or fraudulent activity

We reserve the right to suspend or terminate accounts that violate these terms.

7. Intellectual Property

Your Data: You retain full ownership of all content and data you create, upload, or store on OpxCrate. We do not claim any intellectual property rights over your business data.

Our Platform: The OpxCrate platform, including its code, design, branding, and documentation, is the property of OpxCrate, LLC and is protected by copyright and intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

8. Data & Privacy

Your use of OpxCrate is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

9. Third-Party Services

OpxCrate integrates with third-party services including Stripe (payments), Resend (email delivery), Google (authentication), and Fly.io (hosting). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.

10. Service Availability

We strive to keep OpxCrate available and reliable, but we do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or experience outages. We are not liable for any downtime or data loss resulting from such events.

11. Limitation of Liability

To the fullest extent permitted by law, OpxCrate and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless OpxCrate, LLC, its owners, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the Service, your violation of these terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time if you violate these Terms of Service or engage in conduct that we determine is harmful to OpxCrate, our users, or third parties. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to allow you to export your data before permanent deletion, except in cases of severe abuse.

14. Modifications to Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email or through a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the updated terms.

15. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Texas, in accordance with the rules of the American Arbitration Association. You agree to waive your right to a jury trial and to participate in class action lawsuits.
